Demonstration period agreement

MSC herby grants a Site License to a demonstration version of MSC's SUBLAM. The license is solely for the evaluation of SUBLAM to determine suitability to the user's need. If the user does not desire a permanent license at the end of the demonstration period, the user agrees to delete the software and the supporting documentation.

MSC, its directors, officers, or employees shall have no liability with respect to its obligations under this agreement or otherwise for consequential, exemplary, special, indirect, incidental or punitive damages, whether based on lost revenue or otherwise, even if it has been advised of the possibility of such damages or losses in advance.  In any event, the liability of MSC to licensee for any reason and upon any cause of action or claim shall be limited to the amount paid to MSC by licensee hereunder with respect to the product or service which is the subject of the applicable action or claim.  This limitation applies to all causes of action or claims in the aggregate, including, without limitation, to breach of contract, breach of warranty, negligence, strict liability, product liability, misrepresentations, claims for failure to exercise due care in the performance of MSC's services hereunder and other torts.  Both parties understand and agree that the remedies, exclusions and limitations herein allocate the risks of product and service nonconformity between the parties as authorized by the uniform commercial code and/or other applicable laws.  The fees herein reflect, and are set in reliance upon, this allocation of risk and the exclusion of consequential damages and limitations of liability set forth in this agreement.

Title to and ownership of the MSC Licensed Software and all copies, partial copies and any and all revisions, enhancements, updates or modifications thereto shall remain with MSC.  Except as may be licensed under the Site License pursuant to this Agreement, all title, ownership and rights to patents, copyrights, trademarks and trade secrets contained in the MSC Licensed Software, or any update thereto, shall remain with MSC.  Licensee will not alter or remove any copyright or proprietary rights mark or other identification on the MSC Licensed Software indicating MSC's ownership.  Licensee shall not modify, copy, duplicate, reproduce, license or sublicense the MSC Licensed Software, or transfer or convey the MSC Licensed Software or any right in the MSC Licensed Software to anyone else without the prior written consent of MSC; provided that Licensee may make one copy of the MSC Licensed Software for backup or archival purposes.

The two SUBLAM executable files are self contained, and may be installed anywhere on the users computer by simply copying the SUBLAM10-2-5.exe and SUBLAM_GUI_10-3-1.exe. The dll file pcgw32.dll should also be copied and remain in the directory with the executables (related to license management scheme).

The two codes may be executed a total of 20 times. After the 20th time, a dialog will come up asking for an activation code. Simply copy the site code and machine ID and send to info@materials-sciences.com. If the license fee and license agreement are in order, we will send back an activation code. Paste the code into the dialog box (you can close it while you wait for the response). You should never have to perform this operation again.

The download for SUBLAM contains two versions of the analysis code. SUBLAM10-3-1.exe is a console version which simply brings up a file selection dialog when executed. The user can select an input data file (*.dat file), and the code will perform the analysis and shut down, leaving various output files behind in the same directory as the input file. This version is sometimes used as part of an analysis loop or optimization.

The other version is SUBLAM_GUI_10-3-1.exe. This version includes a graphical user interface that allows the user to build models and view results.
